Salesforce.com (CRM) Announces $326M Acquisition of Radian6; Updates Outlook

Salesforce.com (NYSE: CRM) has entered into an agreement for the acquisition of Radian6 in a $276 million cash and $50 million stock deal.

In addition, approximately $10M in stock and $4M in cash will be issued to founders and will be subject to vesting conditions over two years. The acquisition has been approved by Radian6's board of directors and stockholders and is expected to close in the second quarter of salesforce.com's fiscal 2012, ending July 31, 2011, subject to customary closing conditions.

Closing is expected in Q211.

Expects the deal to increase Q212 revs by $5 million and reduce non-GAAP EPS by $0.08.

For FY12, he acquisition is expected to increase revenues by approximately $45 to $50 million and to reduce non-GAAP EPS by approximately $0.11 in the year ending January 31, 2012. CRM is updating its FY12 outlook with revs of $2.075 - $2.100 billion and non-GAAP EPS of $1.24 - $1.27. Consensus sees revs of $2.07 billion and EPS of $1.38.
