Cephalon (Nasdaq: CEPH) INDICATED SHARPLY HIGHER; Valeant Pharma (NYSE: VRX) proposes to buy Cephalon for $73 per share.

Universal Travel Group (NYSE: UTA) 26.3% LOWER; is delaying its year 2010 earnings conference call previously scheduled for March 30, 2011 at 09:00 a.m. EDT to a later day in 2011 to be determined. The delay is not related to any accounting irregularities.

Oxford Industries Inc. (NYSE: OXM) 11.9% HIGHER; reported Q4 EPS of $0.32, $0.01 better than the analyst estimate of $0.31. Revenue for the quarter came in at $157 million versus the consensus estimate of $154.84 million. Sees Q1 2011 revenue of $200-$210 million, versus the consensus of $198 million. Sees FY2011 EPS of $1.95-$2.05, versus the consensus of $1.90. Sees FY2011 revenue of $725-$740 million, versus the consensus of $704.8 million. Raises quarterly dividend 18% to 13 cents per share, 52 cents annualized.

Sealy Corporation (NYSE: ZZ) 11.7% LOWER; reported Q1 EPS of $0.00, $0.03 worse than the analyst estimate of $0.03. Revenue for the quarter came in at $305.5 million versus the consensus estimate of $326.06 million.

Netlist, Inc. (Nasdaq: NLST) 7.7% HIGHER; has received a U.S. Patent No. 7,864,627 entitled "Memory Module Decoder," U.S. Patent No 7,881,150 entitled "Circuit Providing Load Isolation and Memory Domain Translation for Memory Module," and U.S. Patent No 7,916,574, a continuation of the '150. These patents add to Netlist's growing intellectual property portfolio protecting the Company's HyperCloud innovations that utilize Rank Multiplication and Load Reduction Technologies.

ValueVision Media, Inc. (NASDAQ: VVTV) 7.7% LOWER; announced that it intends to offer shares of its common stock in an underwritten public offering pursuant to an effective shelf registration statement.

Zoom Technologies (Nasdaq: ZOOM) 5.6% LOWER; reports Q4 net income of $5.1 million. Revenue for the quarter was $86.6 million. Sees Q1 net income of $1.98 million on sales of $53 million. Sees FY11 sales of $320-$340 million.

Blackrock (NYSE: BLK) 5.3% HIGHER; to replace Genzyme (Nasdaq: GENZ) in S&P 500.

Tibco Software, Inc. (NASDAQ: TIBX) 4.9% LOWER; reported Q1 EPS of $0.16, $0.01 better than the analyst estimate of $0.15. Revenue for the quarter came in at $185.3 million versus the consensus estimate of $182.68 million. On its conference call, a Tibco exec offered some Q2 guidance: sees adj-EPS of 17-18c, vs. the consensus of 18c, on sales of $195-$200 million, vs. the Street estimate of $194.85 million.

GlobalScape Inc. (NYSE: GSB) 4.2% LOWER; reported Q4 EPS of $0.01, versus $0.01 last year. Revenue for the quarter came in at $4.92 million, versus $4.17 million last year.

Valeant Pharma (NYSE: VRX) 4.1% HIGHER; proposes to buy Cephalon for $73 per share.

Kraton Performance Polymers, Inc. (NYSE: KRA) 3.4% LOWER; announced today that it has commenced an underwritten public offering of 6,000,000 shares of its common stock held by affiliates of TPG Capital, L.P. and J.P. Morgan Partners, LLC, pursuant to the Company's registration statement on Form S-3 filed with the U.S. Securities and Exchange Commission. The underwriters will have a 30-day option to purchase up to an additional 15% of common stock from the affiliates of TPG Capital, L.P. and J.P. Morgan Partners, LLC at the public offering price to cover over-allotments, if any.

Somaxon Pharmaceuticals, Inc. (NASDAQ: SOMX) 2.9% HIGHER; announced that the U.S. Patent and Trademark Office has issued U.S. patent no. 7,915,307, entitled â"Methods of Improving the Pharmacokinetics of Doxepin."€

Human Genome Sciences (Nasdaq: HGSI) 1.6% HIGHER; trading higher following the potential Valeant/Cephalon deal.

Landec Corp. (NASDAQ: LNDC) 1.3% LOWER; reported Q3 EPS of $0.09, $0.02 better than the analyst estimate of $0.07. Revenue for the quarter came in at $73.51 million versus the consensus estimate of $66.75 million.

Align Technology, Inc. (Nasdaq: ALGN) 1% LOWER; has signed a definitive agreement to acquire privately-held Cadent Holdings, Inc. for about $190 million in cash.
