Cornerstone OnDemand (CSOD) Tops Q2 EPS by 21c; To Be Acquired by Clearlake Capital for $57.50/Share

Cornerstone OnDemand (NASDAQ: CSOD) reported Q2 EPS of $0.73, $0.21 better than the analyst estimate of $0.52. Revenue for the quarter came in at $214.3 million versus the consensus estimate of $209.51 million.
Additionally, in a separate release, Cornerstone announced it has entered into a definitive agreement to be acquired by Clearlake Capital Group, L.P. (together with certain of its affiliates, “Clearlake”). Under the terms of the agreement, Clearlake will acquire the outstanding shares of Cornerstone common stock for $57.50 per share in cash. The transaction has an enterprise value of approximately $5.2 billion.
