ViaCell (NASDAQ: VIAC) 49% HIGHER; PerkinElmer (NYSE: PKI) announced the acquisition fo ViaCell for $7.25 a share, for an aggregate purchase price of approximately $300 million
EFJ, Inc. (Nasdaq: EFJI) 22% LOWER; expects revenues to be between $160 million and $170 million compared to its original forecast of $185 million to $195 million for the year. The Wall Street consensus is $187.6 million. It also announced that its 2007 operating income/loss is expected to be between income of $1 million and a loss of $2 million, versus its initial projection of $7 million to $10 million. Additionally, the Company indicated it expects that non-cash expense of amortization and depreciation would be approximately $4.8 million, due to lower than planned capital expenditures. For the third quarter, the Company now expects revenues to be in the range of $32.0 million to $33.5 million and for there to be a significant operating loss for the quarter. The Wall Street consensus is $43.62 million.
Luminent Mortgage (NYSE: LUM) 17.6% HIGHER; said after the close on Monday that it repaid much of its debt, limiting the risk that it will run out of cash. The Company has also entered into an amended definitive credit agreement with Arco Capital Corporation, providing the Company with a revolving liquidity line of credit of up to $60 million to be used to stabilize existing repurchase agreements, to meet financing maturities and to provide working capital.
MIVA, Inc. (NASDAQ: MIVA) 13.8% LOWER; Expects its results for the third quarter ended September 30, 2007, will be below previously issued guidance. Based on preliminary third quarter results, the Company expects to report Q3 2007 revenue of approximately $36.7 to $37.1 million, compared to the Company\'s prior guidance for revenue of $38.0 to $39.0 million. The decrease is primarily due to lower than anticipated MIVA Direct revenue and Media US revenue. The Wall Street consensus is $38.4 million.
Dean Foods Company (NYSE: DF) 7.8% LOWER; announced a reduction in its expectations for third quarter and full year adjusted earnings per share. The company now expects earnings per share to be approximately $0.15 per share in the third quarter and approximately $1.25 per share for the full year. The consensus is $0.26 and $1.46, respectively.
PDL BioPharma, Inc. (Nasdaq: PDLI) 7% HIGHER; announced that its board of directors has recently decided to actively seek offers for the sale of the company as a whole or of its key assets.
TranSwitch Corporation (NASDAQ: TXCC) 6.5% LOWER; expects revenues for the third quarter ending September 30, 2007, to be between $7.0 million and $7.4 million compared prior guidance of approximately $9.3 to $10.5 million. The Wall Street consensus is $10 million

The Valspar Corporation (NYSE: VAL) 6% LOWER; expects adjusted earnings for the fourth quarter ending October 26, 2007 to be in the range of 47 to 50 cents per share. The consensus is 60 cents. For the full year, the company expects adjusted earnings per share to be approximately $1.67-$1.70. The consensus is $1.79.
Toronto-Dominion Bank (NYSE: TD) 5% LOWER; signed a definitive agreement to acquire Commerce Bancorp Inc. (NYSE: CBH) in a 75% stock and 25% cash transaction valued at US$8.5 billion.

Sees Q2 EPS of $0.06-$0.08, versus the consensus of $0.10. Sees Q2 revenues of $370-$380 million versus the consensus of $413.5 million.
