CompuDyne Corporation (NASDAQ: CDCY) 28% HIGHER; signed a definitive purchase agreement to be acquired by an investor group consisting of affiliates of The Gores Group, LLC and industry executive Stuart Mackiernan. Clearlake Capital Group, L.P. has committed to provide debt and equity financing to the investor group in the transaction. CompuDyne\'s Board of Directors has agreed to recommend the sale of the company via a cash tender offer at $7.00 per share followed by a merger at the same price. CDCY closed at $5.29 on Monday.

USA Technologies Inc. (NASDAQ: USAT) 12% HIGHER; MasterCard and USA Technologies to Expand MasterCard(R) PayPass(TM) Rollout to Another 7,500 Locations Nationwide

Quality Systems (NASDAQ: QSII) 12% LOWER; reported Q1 earnings of $0.29 per share, 4 cents worse than estimates. ($0.33) Revenues came in at $42.0 million versus the consensus of $45.1 million.

Mentor Corp (NYSE: MNT) 11% HIGHER; reported Q1 earnings of $0.48 per share, 14 cents better than estimates. ($0.34) Revenues were $95.6 million versus the consensus of $88.4 million. Sees FY08 revenues between $370-385 million vs. consensus of $347.01 million. Sees FY EPS between $1.40-1.45 vs. consensus of $1.25.

Steven Madden (Nasdaq: SHOO) 10% HIGHER; reports Q2 earnings of $0.49 per share, 2 cents better than estimates. Revenues came in at $108.3 million versus the consensus of $120.5 million. Reaffirms FY EPS forecast of $2.00-2.10 versus the consensus of $2.02.

Wynn Resorts (NASDAQ: WYNN) 9.4% HIGHER; reported Q2 GAAP earnings of $0.82 per share (Adjusted EPS of $0.92) cents better than estimates. ($0.53) Revenues came in at $687.5 million versus the consensus of $603.7 million.

American Science & Engineering Inc. (NASDAQ: ASEI) 9% HIGHER; reports Q1 EPS of $0.66, versus the consensus of $0.54. Revenues of $44.5M versus the consensus of $38.44M

Novatel Wireless (NASDAQ: NVTL) 8% HIGHER; reported Q2 earnings of $0.25 per share (Non-GAAP EPS ex-items was $0.31) vs. consensus of $0.23. Revenues came in at $97.4 million versus the consensus of $95.7 million. Sees Q3 revenues of $100 million and (GAAP EPS of $0.23) non-GAAP EPS of $0.27. Thornburg Mortgage Inc. (NYSE: TMA) 8% LOWER; Deutsche Bank downgrades to Sell, saying company may cut dividend.

Ctrip.com (NASDAQ: CTRP) 7.6% LOWER; reported Q2 earnings of $0.17 per share, $0.22 adjusted, versus the consensus of $0.15. Revenues came in at $38 million versus the consensus of $35.2 million. For the third quarter of 2007, Ctrip expects to continue strong year-on-year net revenue growth of approximately 35%.

BMC Software (NYSE: BMC) 7.5% HIGHER; reported Q1 earnings of $0.37 per share, ex-items, 3 cents better than estimates. ($0.34) Revenues came in at $385 million versus the consensus of $375.1 million. Sees Q2 EPS of $0.39-$0.44, versus the consensus of $0.41. Sees Q2 revs of $395-$410 million, versus the consensus of $401.2 million.

Clearwire (NASDAQ: CLWR) 6.8% LOWER; reported Q2 loss of $0.72 per share, versus the consensus of a loss of $0.60. Revenues came in at $35.5 million versus the consensus of $33.3 million.

Obagi Medical (NASDAQ: OMPI) 5% HIGHER; reported Q2 earnings of $0.18 per share, 2 cents better than estimates. ($0.16) Revenues came in at $26.1 million versus the consensus of $25.3 million. Sees 2007 EPS of $0.76-$0.79, versus the consensus of $0.72. Sees 2007 sales of $102-$106 million versus the consensus of $104.2 million.

Sina (NASDAQ: SINA) 5% LOWER; reported Q2 earnings of $0.27 per share, 3 cents better than estimates. ($0.24) Revenues came in at $59.8 million versus the consensus of $59.6 million. Sees Q3 revs of $63-$65 million versus the consensus of $64.75 million.

The Warnaco Group, Inc. (NASDAQ: WRNC) 3.7% HIGHER; reports Q2 EPS of $0.30 vs. $0.12 consensus. Revenues were $465.1 million vs. $469.32 million consensus. In light of the Company\'s continued strong performance, for fiscal 2007, the Company now expects net revenues to grow 7% - 9% over fiscal 2006 levels and diluted earnings per share in the range of $1.90-$2.00 vs. $1.90 consensus.

Hewitt Associates, Inc. (NYSE: HEW) 3% HIGHER; reports Q3 EPS of $0.43, 15 cents better than estimates. Revenues were $742.3.0 million vs. $738.08 million consensus. Hewitt Associates announced its intention to purchase up to 15,625,000 shares of its outstanding Class A common stock through a modified "Dutch Auction" tender offer.
