Item�5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Mark A. Lovett provided notice of his resignation from his position as a director on the Board of Directors of Advanced Drainage Systems, Inc. (the �Company�) and any committees thereof, effective as of December�10, 2014. Mr.�Lovett�s resignation did not result from a disagreement with the Company on any matter relating to the Company�s operation, policies or practices. The Company intends to reduce the size of the Board of Directors to eliminate the vacancy created by the departure of Mr.�Lovett.
