Ventana Medical Systems (Nasdaq: VMSI): 49% HIGHER; Roche offers $75/share to acquire the company. VMSI has declined to enter talks.

W Holding Company (NYSE: WHI) 35% LOWER; Determined that one of its larger asset-based loans originated by its asset-based lending division is impaired. The Company also determined there is a significant collateral deficiency with respect to this impaired loan. At this time, the Company is unable to make a determination as to the amount or range of amounts of any collateral deficiency, impairment charge or future cash expenditures with respect to such charge. However, on a preliminary basis, management believes the collateral deficiency to be at least $80 million. The Company is currently in the process of evaluating the loan, the existing and possible potential new collateral and the loan guaranty to determine the financial impact, if any, of this loan impairment.

Energy East Corporation (NYSE: EAS) 17.25% HIGHER; IBERDROLA will acquire 100% of Energy East, which will become part of the IBERDROLA group. According to the terms of the merger agreement, the shareholders of Energy East would receive $28.50 in cash per share at closing.

The Steak n Shake Company (NYSE: SNS) 15% HIGHER; In a 13D filing after the close on The Steak n Shake Company (NYSE: SNS), HBK Investments and related funds disclosed a 9.5% stake (2,703,726 shares) in the company and said they plan in engaging in discussions with management and the Board of Directors concerning the business and the future plans of the company generally, and with regard to strategies and potential transactions to maximize shareholder value, including potentially exploring an acquisition or other transaction involving HBK. HBK said it does not intend to engage in any acquisition, offer or other transaction that is not supported by the Board of Directors of the Steak n Shake, or otherwise seek representation on the Board of Directors of Steak n Shake

Bombay Co. (NYSE: BBA) 11% LOWER; The New York Stock Exchange plans to suspend its stock because it does not meet the market\\\\\\\'s listing requirements.

Ascent Solar Technologies Inc. (Nasdaq: ASTI) 10.4% HIGHER; Stock moving higher with no specific news releases.

IXYS Corporation (Nasdaq: IXYS) 10.3% LOWER; IXYS now expects net revenues for the quarter ending June 30, 2007 to be between $70 and $72 million, versus the consensus of $74.99 million.

Zarlink Semiconductor Inc. (NYSE: ZL) 10% HIGHER; Has entered into an agreement to acquire privately held Legerity Holdings, Inc., a leading developer and supplier of voice ICs (integrated circuits) for carrier, enterprise and residential gateway equipment. Under the terms of the agreement, Zarlink will acquire Legerity for US $134.5 million in cash, subject to working capital adjustments. Zarlink intends to fund this acquisition through a combination of its cash resources and, as required, draw down on a bridge facility of up to US$50 million.
