Pandion Therapeutics, Inc. (Nasdaq: PAND) 131.8% HIGHER; Merck (NYSE: MRK), known as MSD outside the United States and Canada, and Pandion Therapeutics, Inc. (Nasdaq: PAND) today announced that the companies have entered into a definitive agreement, under which Merck, through a subsidiary, will acquire Pandion, a clinical-stage biotechnology company developing novel therapeutics designed to address the unmet needs of patients living with autoimmune diseases, for $60 per share in cash. This represents an approximate total equity value of $1.85 billion.

TrueCar (NASDAQ: TRUE) 16.4% HIGHER; reported Q4 EPS of ($0.01), $0.03 better than the analyst estimate of ($0.04). Revenue for the quarter came in at $64 million versus the consensus estimate of $58.49 million. TrueCar sees Q1 2021 revenue of $60-62 million, versus the consensus of $59.07 million.

Tandem Diabetes (NASDAQ: TNDM) 12.8% HIGHER; reported Q4 EPS of $0.22, $0.10 better than the analyst estimate of $0.12. Revenue for the quarter came in at $168.1 million versus the consensus estimate of $141.58 million.

Ping Identity (NYSE: PING) 11.5% LOWER; reported Q4 EPS of $0.09, in-line with the analyst estimate of $0.09. Revenue for the quarter came in at $63.3 million versus the consensus estimate of $68.82 million.

Northern Genesis Acquisition Corp. (NYSE: NGA) 11.3% LOWER; SPAC merger target Lion Electric (Lion), a leading manufacturer of all-electric medium and heavy-duty urban vehicles, today announced that it has secured an order for its all-electric school buses from the Los Angeles Unified School District (LAUSD).

Green Plains Inc. (NASDAQ: GPRE) 10.1% LOWER; announced that it intends to offer $150 million of common stock and $150 million aggregate principal amount of convertible senior notes due 2027 in separate concurrent public offerings registered under the Securities Act of 1933, as amended (the Securities Act), subject to market and other conditions. The notes will be convertible into cash, shares of the companys common stock or a combination of cash and common stock, at the election of the company, when certain conditions are met. The interest rate, conversion rate, offering price and other terms will be determined at the time of pricing of the offering of the notes.

InflaRx N.V. (Nasdaq: IFRX) 9.7% LOWER; announced today that it has commenced an underwritten public offering of common shares of the Company. For each common share purchased, an investor will also receive a warrant to purchase a common share of the Company. The Company intends to use the net proceeds from the offering primarily to fund research and development expenses for its clinical and preclinical research and development activities and for working capital and general corporate purposes. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed or as to the actual size or terms of the offering.

Progyny (NASDAQ: PGNY) 9% LOWER; reported Q4 EPS of $0.07, $0.01 better than the analyst estimate of $0.06. Revenue for the quarter came in at $100.3 million versus the consensus estimate of $97.73 million. Progyny sees Q1 2021 revenue of $520-540 million, versus the consensus of $537.7 million.

Papa John's (NASDAQ: PZZA) 8.9% LOWER; reported Q4 EPS of $0.40, $0.06 worse than the analyst estimate of $0.46. Revenue for the quarter came in at $469.8 million versus the consensus estimate of $467.9 million. Comparable sales up by 13.5% in North America and 21.4% Internationally

Best Buy (NYSE: BBY) 8.5% LOWER; reported Q4 EPS of $3.48, $0.06 better than the analyst estimate of $3.42. Revenue for the quarter came in at $16.94 billion versus the consensus estimate of $17.15 billion.

VITA Medical, Inc. (Nasdaq: RCEL) 8.4% LOWER; announced that it has commenced an underwritten registered public offering of its common stock.

NetApp (NASDAQ: NTAP) 8.3% LOWER; reported Q3 EPS of $1.10, $0.09 better than the analyst estimate of $1.01. Revenue for the quarter came in at $1.47 billion versus the consensus estimate of $1.43 billion. NetApp sees Q4 2021 EPS of $1.06-$1.14, versus the consensus of $1.09. NetApp sees Q4 2021 revenue of $1.44-1.54 billion, versus the consensus of $1.47 billion.

Naked Brand Group Limited (NASDAQ: NAKD) 8% LOWER; signed a definitive agreement for a private placement of restricted ordinary shares and warrants for aggregate gross proceeds of approximately $100 million with accredited investors. Upon the closing of the private placement, the proceeds will be used to develop the Company's technology solutions, increase its existing digital footprint, and pursue accretive acquisitions of existing e-commerce brands and for general corporate purposes. The Company believes its recent capital raising activities accelerates its transition to a pure play e-commerce platform business.

American Public Education, Inc. (Nasdaq: APEI) 7.3% LOWER; commenced an underwritten public offering of shares of its common stock. All of the shares in the offering are to be sold by APEI. APEI also intends to grant the underwriters a 30-day option to purchase up to an additional 15% of shares of common stock offered in the public offering at the public offering price, less the underwriting discount. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.

Teladoc (NYSE: TDOC) 6.9% LOWER; reported Q4 EPS of ($3.07), may not compare to the analyst estimate of ($0.24). Revenue for the quarter came in at $383.3 million versus the consensus estimate of $378.93 million. Teladoc sees Q1 2021 revenue of $445-455 million, versus the consensus of $446 million.

Global Blood Therapeutics (NASDAQ: GBT) 6.5% LOWER; reported Q4 EPS of ($1.00), $0.06 worse than the analyst estimate of ($0.94). Revenue for the quarter came in at $41.3 million versus the consensus estimate of $39.03 million.

Moderna, Inc. (Nasdaq: MRNA) 5.3% HIGHER; completed manufacturing of clinical trial material for its variant-specific vaccine candidate, mRNA-1273.351, against the SARS-CoV-2 variant known as B.1.351 first identified in the Republic of South Africa, and has shipped doses to the National Institutes of Health (NIH) for a Phase 1 clinical trial that will be led and funded by the NIHs National Institute of Allergy and Infectious Diseases (NIAID). The Company also is providing an update on its strategy for addressing SARS-CoV-2 variants of concern.

Pure Storage, Inc. (NYSE: PSTG) 4.9% HIGHER; reported Q4 EPS of ($0.19), $0.28 worse than the analyst estimate of $0.09. Revenue for the quarter came in at $502.7 million versus the consensus estimate of $480.67 million. Pure Storage, Inc. sees Q1 2022 revenue of $405 million, versus the consensus of $390.8 million

NVIDIA (NASDAQ: NVDA) 2.5% LOWER; reported Q4 EPS of $3.10, $0.29 better than the analyst estimate of $2.81. Revenue for the quarter came in at $5 billion versus the consensus estimate of $4.82 billion. NVIDIA sees Q1 2022 revenue of $5.3 billion, versus the consensus of $4.51 billion.
