Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Luis F. Machado will be stepping down as Vice President, General Counsel and Secretary effective on July 10, 2020. Mr. Machado has served in this position since August of 2015.
