Item 8.01

Other Events.

As previously disclosed on a Form 8-K filed with the Securities and Exchange Commission (“SEC”) on April 11, 2022, SailPoint Technologies Holdings, Inc. (“SailPoint” or the “Company”) entered into an Agreement and Plan of Merger, dated April 10, 2022, by and among the Company, Project Hotel California Holdings, LP , a Delaware limited partnership (“Parent”), and Project Hotel California Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), pursuant to which Merger Sub will merge with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly owned subsidiary of Parent. Parent and Merger Sub are affiliates of funds advised by Thoma Bravo, L.P. (“Thoma Bravo”).

On June 1, 2022, the Company issued a press release, a copy of which is attached as Exhibit 99.1 and incorporated by reference into this Item 8.01, announcing that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, expired at 11:59 p.m. Eastern time on May 31, 2022. The expiration of this waiting period satisfies one of the conditions to closing of the proposed transaction. The transaction remains subject to other customary closing conditions, including approval by SailPoint stockholders and receipt of certain other regulatory approvals, and is expected to close in the second half of 2022.

SailPoint Announces HSR Clearance

AUSTIN, Texas, June 1, 2022 – SailPoint Technologies Holdings, Inc. (NYSE: SAIL) (“SailPoint”), the leader in enterprise identity security, today announced the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the “HSR Act”) with respect to SailPoint’s pending transaction with Thoma Bravo, L.P. (“Thoma Bravo”), a leading software investment firm. The expiration of the waiting period under the HSR Act satisfies one of the conditions to the closing of the transaction contemplated by the previously announced Agreement and Plan of Merger (the “Merger Agreement”), dated as of April 10, 2022.

The consummation of the transaction remains subject to other customary closing conditions set forth in the Merger Agreement, including approval by SailPoint stockholders and receipt of certain other regulatory approvals. The transaction is expected to close in the second half of 2022, as previously announced.
