Yatra board rejects Magna Holdings' $1.10-per-share tender offer

Yatra Online, Inc. (NASDAQ: YTRA) said its board of directors unanimously rejected an unsolicited partial tender offer from Magna Holdings Ltd. to acquire up to 20,000,000 ordinary shares, representing approximately 31% of outstanding shares, at $1.10 per share in cash.

The board, advising shareholders not to tender their shares, cited several concerns in a Schedule 14D-9 filing with the U.S. Securities and Exchange Commission. The $1.10 offer price represents a 45% discount to the $2.00 high trading price recorded in the quarter ended Dec. 31, 2025, and a 41.5% discount to the $1.88 high in the quarter ended March 31, 2026.

Yatra Online, Inc. (NASDAQ: YTRA) confirmed that Magna Holdings Ltd. has commenced an unsolicited partial tender offer to purchase up to 20,000,000 of the company's ordinary shares, representing approximately 31% of outstanding shares on an as-converted basis, at $1.10 per share in cash.

The offer, which is subject to proration and applicable withholding taxes, is scheduled to expire at 12:00 midnight New York City time on September 17, 2026, unless extended.

Yatra's Board of Directors said it will evaluate the offer in consultation with independent advisors to determine the course of action it believes is in the best interests of the company
