Ligand to acquire XOMA Royalty for $739 million in cash deal

Ligand Pharmaceuticals Incorporated (NASDAQ: LGND) announced it will acquire XOMA Royalty Corporation (NASDAQ: XOMA) for $39.00 per share in cash, representing a total equity value of approximately $739 million.

The acquisition price represents a 14% premium to XOMA Royalty's 30-day volume weighted average price as of April 24, 2026. XOMA Royalty stockholders will also receive one contingent value right per share, entitling holders to a portion of 75% of net proceeds from certain pending litigation.
