Viper Energy, Inc. (NASDAQ: VNOM) filed a prospectus supplement with the Securities and Exchange Commission on July 2, 2026, related to the proposed resale of up to 3.69 million shares of Class A common stock by selling stockholders.

Viper Energy closes Riverbend mineral acquisition for $337M and stock

Viper Energy, Inc. (NASDAQ: VNOM), a subsidiary of Diamondback Energy, Inc. (NASDAQ: FANG), has completed its acquisition of all equity interests in Riverbend Oil & Gas IX, L.L.C., an entity holding certain mineral and royalty interests.

The transaction was valued at $337 million in cash and approximately 3.7 million shares of Viper's Class A common stock, par value $0.000001 per share, subject to customary post-closing adjustments. The sellers were Riverbend Oil & Gas IX (AIV), L.L.C. and ROG IX, L.L.C.

Viper funded the cash portion of the deal using a combination of cash on hand and borrowings under its existing credit facility.
