USFM Corporation and Twin Vee PowerCats Co. (NASDAQ: VEEE) have amended their definitive merger agreement, originally signed July 12, 2026, adjusting the post-closing ownership structure and adding a financing requirement.

Under the revised terms, pre-closing USFM stockholders will hold 93% of the combined company, up from 90% under the original agreement, while pre-closing Twin Vee stockholders will hold 7%, down from 10%. The amended agreement also requires USFM to use reasonable best efforts to close a private investment in public equity (PIPE) offering of up to $5 million.

The transaction structure calls for a newly formed Texas corporation, Twin Vee Holdco Inc.

USFM Corporation, a privately held U.S. mineral exploration company, has entered into a definitive agreement to merge with Twin Vee PowerCats Co. (Nasdaq: VEEE), according to a press release issued July 16, 2026.

Under the terms of the deal, a subsidiary of USFM will merge with and into Twin Vee. Twin Vee's recreational marine business, which operates under the Twin Vee and Bahama Boat Works brands, will be separated into a privately held company prior to closing, held through a newly formed Delaware statutory trust.
