SU Group Holdings announces 1-for-5 reverse stock split on Nasdaq

SU Group Holdings Limited (Nasdaq: SUGP), a Hong Kong-based security services company, announced a 1-for-5 reverse stock split of its Class A ordinary shares, effective at 12:01 a.m. Eastern Time on August 6, 2026.

The board of directors and majority shareholders approved the share consolidation on July 23, 2026. Shares will continue trading on the Nasdaq Capital Market under the existing ticker symbol "SUGP," with a new CUSIP number G8552M141 assigned as a result of the consolidation.

SU Group faces Nasdaq delisting threat over minimum bid price

SU Group Holdings Limited (NASDAQ: SUGP), a Hong Kong-based security services company, received a delisting determination letter from Nasdaq on Aug. 3, 2026, after its Class A ordinary shares traded below $1.00 per share for 30 consecutive business days between June 18 and July 31, 2026.

The company did not qualify for a standard compliance period under Nasdaq Listing Rule 5810(c)(3)(A)(iv) because it had already conducted a one-for-ten reverse stock split on Aug. 25, 2025. As a result, Nasdaq's Listing Qualifications Department issued a Staff Determination to delist the company's shares from The Nasdaq Capital Market.
