Ming Shing Group Holdings Limited (NASDAQ: PMA), a Hong Kong-based wet trades construction company, announced it has entered into a stock purchase agreement to acquire the entire issued share capital of Meals Through Seasons Limited, a British Virgin Islands-incorporated company, for $510,000,000 payable entirely in company securities.

The agreement, signed August 11, 2026, involves sellers Hongs Smart Limited and Yapjianhuei Smart Limited. The target company holds the full share capital of Meal Though Seasons HK Limited (MTHK), which is described by the sellers as engaged in organic agricultural product supply chains, cold chain logistics, and related businesses. Ming Shing Group Holdings Limited (NASDAQ: PMA), a Hong Kong-based wet trades works company, announced it has signed a non-binding strategic cooperation framework agreement with Meal Though Seasons HK Limited, a Hong Kong company involved in organic agricultural product supply chains, cold chain logistics, and related businesses.
