BiomX Inc. (NYSE American: PHGE) announced it will change its corporate name to Tessera Defense and Homeland Security Inc., effective Sept. 11, 2026, at 12:01 a.m. Eastern Time. The company's common stock will trade on NYSE American under the new ticker symbol "HLSQ."

The name change follows a series of acquisitions and investments the company made over the past year as it shifted its focus to defense and homeland security technology. The company's portfolio includes Dr. Frucht Systems Ltd., which develops threat detection technology; Zorronet Ltd., which provides AI-powered prediction, analysis and response systems deployed with defense and critical infrastructure customers

NETANYA, Israel, Sept. 01, 2026 (GLOBE NEWSWIRE) -- BiomX Inc. (NYSE American: PHGE) (the “Company”) today announced that it will change its corporate name to Tessera Defense and Homeland Security Inc., effective at 12:01 a.m., Eastern Time, on September 11, 2026. The Company’s common stock will trade on the NYSE American under the new ticker symbol “HLSQ.”

BiomX Inc. (NYSE American: PHGE) announced a 1-for-10 reverse stock split of its common stock, set to take effect at 12:01 a.m. Eastern Time on September 9, 2026.

The reverse stock split was approved by stockholders at a special meeting held on August 25, 2026, authorizing a split ratio between 1-for-5 and 1-for-20. On August 28, 2026, the company's board of directors unanimously fixed the ratio at 1-for-10.

The split will reduce outstanding shares from approximately 26.7 million to approximately 2.7 million. The number of authorized shares of common stock will also be reduced from 750,000,000 to 150,000,000. The par value per
