Netcapital receives Nasdaq notice over late annual report filing

Netcapital Inc. (Nasdaq: NCPL) received a delinquency notification from Nasdaq on Aug. 24, 2026, for failing to timely file its annual report on Form 10-K for the fiscal year ended April 30, 2026.

The notice was issued under Nasdaq Listing Rule 5250(c)(1), which requires listed companies to file all required periodic financial reports with the Securities and Exchange Commission on time. According to a press release from the company, the notice does not immediately affect the listing or trading of Netcapital's common stock or warrants on Nasdaq.

The U.S. Securities and Exchange Commission has filed a civil complaint against Netcapital Inc. (NASDAQ: NCPL) and certain individuals, following a previously disclosed Wells Notice related to an SEC investigation involving the company and certain current and former directors, officers, and other individuals.

Netcapital Inc. (Nasdaq: NCPL) has received an additional 180-day extension from Nasdaq to regain compliance with the exchange's minimum $1.00 bid price requirement, giving the company until February 1, 2027, according to a press release.

Nasdaq first notified Netcapital on February 4, 2026, that its common stock had fallen below the $1.00 minimum closing bid price for 30 consecutive business days, triggering a compliance review.
