JFB and Xtend file second amended S-4 for planned merger

JFB Construction Holdings (Nasdaq: JFB) and XTEND, a robotics and artificial intelligence software company, filed a second amended registration statement on Form S-4 with the U.S. Securities and Exchange Commission in connection with their previously announced proposed business combination.

The amended filing incorporates updates made through the SEC review process. The registration statement has not yet been declared effective by the SEC. Once declared effective, a final information statement and prospectus will be mailed to JFB stockholders prior to closing.

The two companies expect the merger to close in the third quarter of 2026, subject to customary closing conditions. Following the close,

Xtend drones used in British Army autonomous strike exercise in Canada

JFB Construction Holdings (Nasdaq: JFB), which is in the process of merging with drone technology company Xtend, announced that Xtend supported the British Army during Ex RHINO BIZZ, a drone and electronic warfare exercise held at the British Army Training Unit Suffield in Alberta, Canada.

The exercise brought together approximately 350 soldiers from 16 Air Assault Brigade across the 2,700-square-kilometer training area. Soldiers from the 2nd Battalion, Parachute Regiment (2 PARA) operated five of Xtend's SCORPIO 1000 autonomous strike systems independently, without support from Xtend personnel.

Xtend's systems were the only autonomous platforms authorized to carry live kinetic payloads during the exercise.
