Golden Spike Resources to rename and consolidate shares as Gordon Mining

Golden Spike Resources Corp. (CSE: GLDS) (OTCQB: GSPRF) (FSE: L5Y) announced it will change its name to Gordon Mining Group Inc. and consolidate its common shares on a one-for-five basis, with the changes taking effect at the opening of trading on September 30, 2026, on the Canadian Securities Exchange under the new ticker symbol "GORD."

Prior to the consolidation, the company had 60,566,666 shares issued and outstanding. Following the consolidation, approximately 12,113,333 shares are expected to be outstanding, subject to rounding adjustments. No fractional shares will be issued; any fractional interests will be rounded down to the nearest whole share.

Golden Spike Resources Corp. (CSE: GLDS) (OTCQB: GSPRF) (FSE: L5Y) has closed a non-brokered private placement, raising aggregate gross proceeds of $975,000 through the sale of 975 units at $1,000 per unit.

Each unit consisted of one 15% unsecured convertible debenture with a principal amount of $1,000 and 26,315 common share purchase warrants. The debentures mature on September 23, 2029, and bear interest at 15% per annum.
