Colony Bankcorp to acquire First Reliance in $163M stock-and-cash deal

Colony Bankcorp, Inc. (NYSE: CBAN) has signed a definitive merger agreement to acquire First Reliance Bancshares, Inc. (OTCQX: FSRL) in a combined stock-and-cash transaction valued at approximately $163 million, the companies announced.

Under the terms of the agreement, each First Reliance shareholder may elect to receive either $19.75 in cash or 0.94 of a Colony common share per First Reliance share, subject to proration. Approximately 20% of First Reliance shares will be converted to cash and the remaining 80% to Colony stock.
