flyExclusive completes acquisition of Jet.AI aviation assets

flyExclusive, Inc. (NYSE American: FLYX) has completed its acquisition of the aviation assets of Jet.AI, the company announced in a press release.

The transaction includes two HondaJet aircraft and one Citation CJ4 aircraft, along with approximately $4.1 million securing three future Citation CJ3 delivery positions scheduled for 2027. The deal also adds Jet.AI's Jet Card members to the flyExclusive platform.

The acquisition includes approximately $6.1 million of securities consisting of an indirect ownership interest, held through a special purpose vehicle, in publicly traded Space Exploration Technologies Corp. (NASDAQ: SPCX) shares. The SPV's direct interest is subject to a pre-IPO lock-up restriction releasing

Jet.AI Inc. (NASDAQ: JTAI) stockholders voted to approve a merger with flyExclusive, Inc. (NYSE American: FLYX) at a special meeting held July 2, 2026, satisfying one of the final conditions required to complete the transaction. The companies expect to close the deal on or about July 7, 2026, subject to remaining customary closing conditions.

Upon closing, Jet.AI stockholders of record as of the close of business on July 6, 2026 are expected to receive the merger consideration described in the definitive proxy statement/prospectus while retaining their existing Jet.AI shares.
