Farmmi signs deal to acquire Brazilian agri supply chain firm

Farmmi, Inc. (NASDAQ: FAMI), a China-based agricultural products supplier, has signed an acquisition framework agreement to purchase 100% of the equity interests in Four Seasons Holding Group Brazil Ltda., a Brazilian agricultural supply chain and trading company registered in Chapecó, Santa Catarina, Brazil.

Four Seasons Holding Group Brazil trades agricultural commodities including soybeans, sugar, chicken, beef, and other agricultural products in global markets.

According to a press release, the final acquisition price will be determined by an independent valuation firm. Farmmi expects to pay the consideration through the issuance of Class A ordinary shares, with the number of shares and other terms

("Farmmi" or the "Company") (Nasdaq: FAMI) today announced that the Company has signed an acquisition framework agreement with the shareholders of FOUR SEASONS HOLDING GROUP BRAZIL LTDA. (the "Target Company") for the purpose of acquiring 100% of the equity interests in the Target Company. The proposed transaction is intended to further expand the Company's business presence in the agricultural supply chain sector in Brazil and globally.

Farmmi, Inc. (NASDAQ: FAMI), a China-based agriculture products supplier and U.S. logistics and supply chain services provider, has closed an underwritten public offering, raising gross proceeds of approximately $3.0 million before deducting underwriting fees and other expenses.

The offering, which closed June 30, 2026, consisted of 7,000,000 Class A ordinary shares priced at $0.25 per share, along with pre-funded warrants to purchase 5,000,000 additional ordinary shares at $0.24999 each. The pre-funded warrants are immediately exercisable and carry an exercise price of $0.00001 per warrant.
