FACT II scraps merger deal with Precision Aerospace & Defense Group

FACT II Acquisition Corp. (Nasdaq: FACT, FACTU, FACTW) has terminated its previously announced business combination agreement with Precision Aerospace & Defense Group, Inc., according to a press release issued July 21, 2026.

Adam Gishen, Chief Executive Officer of FACT II, said the company had secured multiple financing proposals that would have collectively exceeded the deal's $75 million minimum cash condition. He attributed the termination to "unforeseen circumstances affecting a key subsidiary acquisition" that "materially altered the transaction."

"The parties with no alternative but to discontinue the proposed business combination," Gishen said.
