Reliance Global adopts one-year stockholder rights plan

Reliance Global Group, Inc. (NASDAQ: EZRA) announced that its board of directors has unanimously adopted a one-year stockholder rights plan, according to a press release issued Sept. 3, 2026.

The board stated it believes the value of the company's assets exceeds its current market capitalization. The plan is set to expire on Sept. 3, 2027, unless redeemed or terminated earlier by the board.

Under the plan, the rights become exercisable if a person or group acquires 15% or more of the company's common stock without board approval. Passive institutional investors may hold up to 20%. If triggered, stockholders other than the acquiring

Reliance Global Group signs LOI to sell subsidiary for $11M cash

Reliance Global Group, Inc. (Nasdaq: EZRA) has signed a non-binding letter of intent to sell the assets of its Altruis Benefit Consulting subsidiary for $11 million in cash, according to a company statement.

Altruis is a Michigan-based health insurance agency and benefits consulting business. Under the proposed terms, approximately $9.35 million would be paid at closing, with $1.65 million held in an interest-bearing escrow account to be released 18 months after closing.

The company said the transaction is expected to generate approximately $7.6 million in aggregate incremental cash after fully repaying its Oak Street Funding term loan of approximately $4.4 million. That
