Reliance Global Group regains NASDAQ compliance with bid price rule

Reliance Global Group Inc. (NASDAQ: EZRA) announced it has regained compliance with Nasdaq's minimum bid price requirement after its stock traded at or above $1.00 per share for 10 consecutive business days from May 18 through June 1.

The company had received notice from Nasdaq on December 12, 2025, that its common stock failed to maintain the minimum $1.00 bid price for 30 consecutive business days, triggering a compliance review under Nasdaq Listing Rule 5550(a)(2).

Nasdaq's Listing Qualifications Department formally notified the company that it has satisfied the continued listing requirements and closed the matter, according to the press release.

Reliance Global Group Inc. (NASDAQ: EZRA) announced its board of directors approved a 1-for-40 reverse stock split to regain compliance with Nasdaq's $1.00 minimum bid price requirement. The company filed articles of amendment with the Florida Department of State, effective May 15, 2026 at 5:00 p.m. Eastern Time.

The reverse split will take effect at the start of trading on May 18, 2026. Every 40 shares of outstanding common stock will convert into one share, reducing the total shares outstanding from approximately 22.2 million to approximately 555,764 shares. The par value remains $0.086 per share.
