DevvStream and Karbon-X mutually terminate carbon credit agreement

DevvStream Corp. (OTC: DEVSF) and Karbon-X Corp. mutually agreed to terminate a Carbon Credit Forward Purchase Agreement, originally signed on October 28, 2024, according to a company statement.

The Termination Agreement was entered into on July 7, 2026. Under the original agreement, Karbon-X was to sell carbon credits to DevvStream for a total purchase price of $2,892,000 at $120.00 per unit. DevvStream had agreed to issue 444,923 common shares at a deemed price of $6.50 per share as consideration.

As of the termination date, neither party had performed any obligations under the original agreement. The termination carries no penalty to either party

DevvStream suspended from Nasdaq, shares move to OTC market

DevvStream Corp. had trading of its common shares suspended on the Nasdaq Stock Market effective June 24, 2026, after the Nasdaq Hearings Panel determined the company was not in compliance with minimum bid price requirements under Listing Rule 5550(a)(2) and failed to meet the net income standard under Listing Rule 5550(b).

Following the suspension, DevvStream's shares began trading on the Pink Limited Market operated by OTC Markets under the ticker symbol DEVSF. The company said it has also applied for quotation on the OTCQB Market, though approval is not guaranteed.
