Cenovus Energy shares fell sharply on Monday as investors weighed the debt impact of its planned acquisition of Athabasca Oil and a same-day downgrade from UBS, adding to pressure from a weaker Canadian equity market and softer oil prices.

Cenovus shares fell as much as 5.3% to a session low of C$43.82 before paring losses to C$44.59, still well below Friday’s C$46.25 close.

The company agreed to acquire Athabasca in a cash-and-stock deal with an implied enterprise value of C$5.7 billion, offering Athabasca shareholders C$12 a share, a 14% premium to its 20-day volume-weighted average price.

Cenovus Energy Inc. (TSX: CVE, NYSE: CVE) has entered into a definitive arrangement agreement to acquire Athabasca Oil Corporation (TSX: ATH) in a cash and stock transaction with an implied enterprise value of $5.7 billion.

Under the terms of the deal, Cenovus will pay $12.00 per Athabasca share. Each Athabasca shareholder may elect to receive cash, 0.264 of a Cenovus common share, or a combination of both. Total consideration will comprise between 65% and 75% cash and between 25% and 35% Cenovus shares, subject to a maximum cash payout of $4.3 billion and a maximum of 44.4 million Cenovus common shares.
