ADW Capital urges Compass Diversified to begin strategic review

ADW Capital Management, LLC, which holds approximately 19.3% of the common stock of Compass Diversified Holdings (NYSE: CODI) through shares and stock options, sent an open letter to the company's board of directors calling for an immediate strategic review process and what it described as an orderly liquidation of the company.

In the letter, ADW Capital said it believes a strategic process is necessary to prevent further value destruction. The firm's analysis claims that internalizing the external manager could create between $50 and $60 of value per share.

Compass Diversified (NYSE: CODI) has amended its management services agreement with its external manager, Compass Group Management LLC, reducing the base management fee rate and restructuring incentive compensation, according to a press release issued July 13, 2026.

The Ninth Amended and Restated Management Services Agreement takes effect immediately, with revised fee provisions beginning January 1, 2027. The base management fee will decline from 2.00% to 1.25% of Adjusted Net Assets on the first $3 billion, 1.125% on the next $2 billion, and 1.00% on amounts above $5 billion. Base management fees for 2027 are capped at $30 million.
