Birchtree Investments Ltd. (CSE: BRCH) executed a definitive agreement to acquire 100% of Digital Motion Corporation for $20 million, according to a press release statement.

The Vancouver-based investment company will purchase the Delaware-based Digital Motion through a share exchange agreement dated March 22, 2026. The transaction will be settled through the issuance of up to 137.06 million Birchtree shares at a deemed price of CAD$0.20 per share.

Digital Motion develops Web3 financial technology products focused on capital formation, credit infrastructure, and real-world assets. The company has deployed approximately $665,000 across product development, infrastructure, and partnerships since January 2025, according to the release.
