Bollinger Innovations cuts workforce and closes Michigan office

Bollinger Innovations Inc. (NASDAQ: BINI) announced a cost-reduction plan that includes workforce reductions and the closure of its Troy, Michigan office. The company said the measures are intended to streamline operations and preserve liquidity.

The restructuring will consolidate remaining staff into the company's Oak Park facility and align its cost structure with current operating conditions. The company stated that the actions do not involve the disposal or discontinuation of any business line.

Activist investor Jourdan Matthews announced that his firm The Winvest Investment Fund Management Corp. has acquired a 9.99% stake in Bollinger Innovations Inc. (NASDAQ: BINI) and is proposing a tender offer at a 55% premium to acquire majority control of the company.

Matthews stated that Winvest seeks to acquire 50% of Bollinger's shares with board support or will alternatively pursue a board seat. Bollinger Innovations Inc. (NASDAQ: BINI) announced its common stock will begin trading on the OTCID market on Monday, Oct. 13, 2025, following its departure from NASDAQ.

The electric vehicle manufacturer said it will continue trading under the ticker symbol BINI. The company's stock will be suspended from NASDAQ trading at the market opening on Oct. 13, 2025.

NASDAQ previously notified Bollinger Innovations that it failed to comply with listing rule 5550(b)(2), which requires a minimum market value of listed securities of $35 million. The company requested a hearing but subsequently withdrew from the NASDAQ hearings process.

Bollinger Innovations (NASDAQ: BINI) announced it signed an agreement with Ariel Fleet Holdings for 30 Mullen THREE electric trucks and four Mullen ONE electric cargo vans. The vehicles will be provided to FedEx Independent Service Providers, Advanced Logistics Systems and Springbok Holdings for last-mile delivery operations.

Bollinger Innovations Inc. (NASDAQ: BINI) will implement a 1-for-250 reverse stock split effective September 22, 2025, at 12:01 a.m. Eastern Time. The electric vehicle manufacturer's stock will continue trading on the Nasdaq Capital Market under the BINI symbol on a split-adjusted basis when markets open that day.

The reverse split will combine 250 existing shares into one share of common stock. Based on approximately 126.2 million shares outstanding as of September 17, 2025, the company expects roughly 505,000 shares to remain after the split, excluding fractional share adjustments. All fractional shares will be rounded up to the nearest whole share.

Bollinger Innovations Inc. (NASDAQ: BINI) reduced its quarterly cash burn from $21.2 million to $8.9 million, representing a 58% decrease, the electric vehicle manufacturer announced.
