AtlasClear Holdings, Inc. (NYSE American: ATCH) announced it has signed a non-binding letter of intent to acquire an unnamed institutional digital asset business and amended its previously announced agreement to acquire Ark Financial Services, Inc. and its subsidiary Dawson James Securities, Inc.

The identity of the digital asset acquisition target will remain confidential until a definitive agreement is executed. The target holds active regulatory registrations across multiple international jurisdictions. For its 2025 fiscal year, the target reported approximately $9.2 million in revenue and approximately $3.5 million in EBITDA. Consideration will be paid in a combination of cash and AtlasClear common stock,
