Nextech3D.ai updates ARway acquisition valuation after fairness opinions

Nextech3D.ai (CSE: NTAR, OTCQX: NEXCF, FSE: 1SS) has received final fairness opinions for its planned acquisition of all outstanding shares of ARway Corporation (CSE: ARWY, OTCQB: ARWYF), resulting in revised transaction valuations from those announced on July 27, 2026.

Under the definitive agreement dated July 24, 2026, ARway will amalgamate with a wholly owned subsidiary of Nextech through a three-cornered amalgamation. ARway shareholders will receive 0.5141388221 Nextech shares for each ARway share held. Any Nextech shares acquired by Nextech as an existing ARway shareholder will be cancelled upon completion of the transaction.

Nextech3D.ai (CSE: NTAR)(OTCQX: NEXCF)(FSE: 1SS) has received final fairness opinions for its planned acquisition of all outstanding shares of ARway Corporation (CSE: ARWY)(OTCQB: ARWYF), satisfying key conditions under a definitive agreement dated July 24, 2026.

The final opinions resulted in adjusted transaction valuations from those previously announced on July 27, 2026. ARway's implied equity value is now set at C$2,548,789, based on 38,641,161 ARway shares at a 20-day volume-weighted average price of C$0.065960. Nextech3D.ai (CSE:NTAR)(OTCQX:NEXCF)(FSE:1SS) announced a definitive agreement to acquire all outstanding common shares of ARway Corporation (CSE:ARWY)(OTCQB:ARWYF) not already owned by the company. Nextech currently holds approximately 15 million ARway shares, representing about 40% of the 38.6 million shares outstanding.

Under the transaction terms, ARway shareholders will receive approximately 0.514 Nextech shares for each ARway share they own, based on deemed prices of C$0.083 per ARway share and C$0.161 per Nextech share. The deal values ARway at approximately C$3.2 million.
