Item 1.01 Entry into a Material Definitive Agreement.

As disclosed in its Current Report on Form 8-K filed on June 25, 2026 (the "June 25th Current Report"), and other recent Current Reports on Form 8-K, America's Car-Mart, Inc. (the "Company") entered into the First Amendment and Limited Waiver to Credit and Guaranty Agreement (the "First Amendment") with Silver Point Finance, LLC, as Administrative Agent and Collateral Agent (the "Agent"), and the lenders party thereto (collectively, the "Lenders"), amending and providing certain limited waivers under the Credit and Guaranty Agreement dated as of October 30, 2025 (the "Credit Agreement").

Second Amendment to Credit Agreement

On October 15, 2026, the Company entered into the Second Amendment to the Credit and Guaranty Agreement (the "Second Amendment") with the Agent and the Lenders. Pursuant to the Second Amendment, the Lenders agreed to provide incremental term loans in an aggregate principal amount of $5.0 million (the "Incremental Term Loans"), the proceeds of which are to be used for general corporate purposes. The Incremental Term Loans mature on the same date, October 30, 2030, and are generally subject to the same interest rate and other terms and conditions as the initial term loans outstanding under the Credit Agreement, as amended by the First Amendment.

The Company has agreed to pay the Agent and Lenders aggregate fees of $200,000 in connection with entering into the Second Amendment, which will be added to the outstanding principal balance under the Credit Agreement.

The foregoing description of the Second Amendment does not purport to be complete and is qualified in its entirety by reference to the Second Amendment, a copy of which will be filed as Exhibit 10.1 hereto and incorporated herein by reference.

First Amendment Waiver Extension

Pursuant to the First Amendment, the Lenders agreed to waive, for the period from the effective date of the First Amendment to September 7, 2026 (the "Scheduled Termination Date"), certain anticipated or existing events of default under the Credit Agreement. As previously disclosed, since September 4, 2026, the Agent and Lenders have agreed to a series of extensions of the Scheduled Termination Date through October 22, 2026, and have provided temporary relief through October 22, 2026, with respect to the Company's obligations to maintain certain minimum liquidity thresholds and a minimum Collateral Coverage Ratio (as defined in the Credit Agreement), each as described in the June 25th Current Report (collectively, the "Prior Extensions"). On October 20, 2026, the Agent and Lenders agreed to further extend the Scheduled Termination Date and the temporary relief with respect to the minimum liquidity thresholds and minimum Collateral Coverage Ratio through November 1, 2026 (the "Current Extension" and, together with the Prior Extensions, the "Extensions").

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

The information set forth above under Item 1.01 with respect to the Second Amendment is hereby incorporated by reference into this Item 2.03.

Item 8.01 Other Events.

On October 20, 2026 (the "Redemption Date"), ACM Auto Trust 2024-2 (the "Issuer"), an indirect subsidiary of the Company, completed the redemption (the "Redemption") of all its outstanding Asset Backed Notes (the "Notes"). The Notes were issued pursuant to the Indenture, dated as of October 9, 2024, between the Issuer and Deutsche Bank National Trust Company, as indenture trustee (the "Trustee"). The Redemption was effected following the Company's exercise, as servicer, of its option to purchase the remaining receivables held by the Issuer pursuant to the Sale and Servicing Agreement, dated October 9, 2024. Following the Redemption, the remaining receivables, with an aggregate principal balance of approximately $92 million, were released from the Issuer and are no longer pledged to secure the Notes.
