Meta eyes nonvoting shares to help fund AI spending, Semafor reports

October 21, 2026 3:44 PM

Investing.com -- Meta Platforms is considering issuing nonvoting shares to help finance its artificial intelligence ambitions without diluting CEO Mark Zuckerberg’s voting control, Semafor reported Wednesday, citing people familiar with the matter.

The company could announce the plan as soon as Wednesday, when it is scheduled to report third-quarter earnings after the market close, according to the report.

The potential move would give Meta another way to raise capital as it pours billions of dollars into AI infrastructure, including data centers and computing capacity, while potentially using stock to fund acquisitions and attract talent.

Nonvoting shares would allow Meta to issue equity without giving new investors additional voting power, helping Zuckerberg maintain control over the company even as its share count expands.

The approach would mirror a structure used by Alphabet, which introduced nonvoting shares in 2014. Alphabet has also turned to equity issuance to support its AI investments, issuing $85 billion in new stock earlier this year, Semafor reported.

Meta’s plans come as investors scrutinize the cost of the AI buildout and how major technology companies intend to finance their spending. Issuing additional shares could provide funding flexibility, but it would also risk diluting existing shareholders’ economic interests.

Meta declined to comment to Semafor.
