October 21, 2026 8:52 AM

Investing.com -- INVE Technologies Inc (NASDAQ: INVE) shares jumped 20.3% in premarket trading Wednesday following the company's announcement of a modified Dutch auction tender offer to repurchase up to $20 million worth of its common stock.

The tender offer, which commenced on October 21, 2026, allows shareholders to sell their shares at prices ranging from $2.85 to $3.40 per share. The offer represents a premium to the October 20, 2026 closing price of $2.22 per share and will expire on November 19, 2026.

If fully subscribed, the buyback would represent approximately 24.7% to 29.4% of INVE Technologies' outstanding shares as of October 19, 2026. The company will use cash on hand to fund the repurchase and related expenses.

"Following the close of our transaction with Trackonomy, we are delivering on our commitment to return capital to our stockholders," said James Ousley, Chairman of the Board. The tender offer is part of a previously authorized $40 million share repurchase program.

The company also released preliminary unaudited financial results for the third quarter ended September 30, 2026. INVE Technologies expects revenue between $2.9 million and $3.1 million, with gross margin of 18% to 19%. Net income is projected at $0.4 million to $0.8 million, or $0.01 to $0.02 per share.

As of September 30, 2026, the company reported a cash balance of $87.1 million. The preliminary results reflect the closing of an asset sale transaction with Trackonomy Systems Inc on September 15, 2026.

The company's directors and executive officers have indicated they do not intend to tender their shares in the offer. Craig-Hallum Capital Group LLC is serving as the exclusive dealer manager for the tender offer.

INVE Technologies expects to report final third quarter results on or about November 12, 2026.
