October 15, 2026 7:02 AM

CoTec Holdings Corp. (TSXV: CTH)(OTCQX: CTHCF) and Battery Mineral Resources Corp. (TSXV: BMR)(OTCQB: BTRMF) have signed a non-binding framework agreement to explore a joint venture focused on increasing copper production at Battery Mineral's Punitaqui mining district in Chile, according to a press release.

Under the proposed arrangement, Battery Mineral would retain 100% ownership and economic benefit of its existing Punitaqui operation. CoTec and Battery Mineral would each hold a 50% economic interest in any incremental production and value generated through the application of CoTec technologies and qualifying new development opportunities identified within the district.

The initial program will include metallurgical testing and preliminary technical and economic evaluations targeting copper recovery from historical and active tailings, lower-grade sulphide mineralization, and potential new production streams. CoTec is expected to bear third-party costs associated with the approved assessment and testing activities.

The framework agreement is non-binding except for provisions related to exclusivity, confidentiality, and other customary matters. The parties intend to negotiate definitive agreements following completion of technical, metallurgical, and economic evaluations.

Battery Mineral operates the Punitaqui Mining Complex, a copper, gold, and silver-producing mine in Chile's Coquimbo region. CoTec is focused on deploying processing and resource optimization technologies across mineral assets.

Julian Treger, Chief Executive Officer of CoTec, said the partnership "reflects CoTec's strategy of creating value from existing assets through technology, project development expertise and disciplined capital allocation."

Lazaros Nikeas, Chief Executive Officer of Battery Mineral Resources, said CoTec "brings a differentiated combination of technology expertise, project development capability and access to capital."
