Bergeron urges Ethan Allen shareholders to back his five board nominees
Doug Bergeron, a shareholder holding approximately 5.2% of Ethan Allen Interiors Inc. (NYSE: ETD) common stock, sent a letter to the company's stockholders ahead of the 2026 Annual Meeting, contrasting the records of the incumbent board members with his five director nominees.
Bergeron, acting through DGB Investment, Inc., argues that the current board's emphasis on continuity has coincided with what he describes as two decades of declining revenue, profitability, and shareholder value. He contends that the company's earnings power has deteriorated and that its customer base is aging, making a change in board leadership necessary.
Along with the letter, Bergeron published what he calls an "Accountability Matrix" comparing the qualifications and track records of incumbent directors against those of his five nominees. He also outlined a plan aimed at restoring profitable growth while maintaining a regular dividend.

DGB has filed a definitive proxy statement and a WHITE universal proxy card with the Securities and Exchange Commission in connection with the solicitation of votes for his slate of director candidates at the 2026 annual meeting.
