CrowdStrike urges stockholders to reject Tutanota mini-tender offer

October 9, 2026 4:31 PM

CrowdStrike Holdings (NASDAQ: CRWD) announced it has received notice of an unsolicited mini-tender offer from Tutanota LLC, a company incorporated in the Island of Nevis, seeking to purchase up to 500,000 shares of CrowdStrike common stock at $260.00 per share in cash.

CrowdStrike is recommending that stockholders reject the offer, citing conditions that make payment uncertain. The offer price of $260.00 per share is only valid if CrowdStrike's closing stock price exceeds that level on the last trading day before the offer expires. If that condition is not waived by Tutanota, stockholders who tender shares would receive a below-market price. The offer is also contingent on Tutanota securing financing.

The offer covers less than 0.05% of CrowdStrike's outstanding shares. Tutanota has stated it intends to extend the offer until CrowdStrike's stock price exceeds $260.00 per share, with the current expiration set for 5:00 p.m. New York time on October 19, 2026. Stockholders who have already tendered shares may withdraw them before that expiration date.

CrowdStrike states it has no association with Tutanota or its offer. The company noted that Tutanota has made similar mini-tender offers for shares of other companies.

Mini-tender offers target less than 5% of a company's outstanding shares, placing them below the threshold that triggers U.S. Securities and Exchange Commission disclosure and procedural requirements applicable to larger tender offers. The SEC has previously cautioned investors that some bidders making mini-tender offers at below-market prices hope to catch investors off guard if they do not compare the offer price to the current market price.

CrowdStrike is urging stockholders who have not responded to the offer to take no action, and advises all stockholders to consult with a broker or financial advisor before making any decision.
