Digital Realty (NYSE: DLR) announced that its wholly owned indirect finance subsidiary, Digital Euro Finco, LLC, has priced an offering of €1 billion in aggregate principal amount of 5.125% Guaranteed Notes due 2036, priced at 99.289% of the principal amount.

The notes will be senior unsecured obligations of Digital Euro Finco, LLC and will be fully and unconditionally guaranteed by Digital Realty and its operating partnership, Digital Realty Trust, L.P. Interest will be payable annually in arrears at 5.125% per annum beginning October 9, 2026, with the notes maturing on October 9, 2036. The offering is expected to close on October 9, 2026, subject to customary closing conditions.

The company said it intends to allocate net proceeds from the offering consistent with its Green Bond Framework, including financing or refinancing new and existing development and redevelopment projects. Pending that allocation, proceeds may be used to repay borrowings under the operating partnership's global revolving credit facilities, acquire properties or businesses, fund development opportunities, or for general corporate purposes, including repayment of other debt.

The notes are being sold outside the United States under Regulation S of the U.S. Securities Act of 1933 and have not been registered under that act. They may not be offered or sold in the United States or to U.S. persons absent registration or an applicable exemption.
