B&G Foods calls off Green Giant Canada sale to Nortera Foods
B&G Foods, Inc. (NYSE: BGS) and Nortera Foods Inc. announced that their asset purchase agreement for the sale of Green Giant Canada has been terminated, according to a press release from the companies.
The agreement, originally signed on October 24, 2025, was terminated on October 5, 2026, after Canadian regulatory approval was not obtained by the Competition Act outside date of September 24, 2026. Under the terms of the deal, either party was entitled to terminate if approval was not secured by that deadline.
As a result of the termination, B&G Foods will continue to own and operate Green Giant Canada, while Nortera Foods will remain the primary co-manufacturer for the brand.

Robert D. Mills, President and Chief Executive Officer of B&G Foods, said the company "remains highly confident in Green Giant Canada's future" and indicated the company intends to continue evaluating strategic and operational alternatives for the business, including potential sale transactions, strategic partnerships, or other opportunities.
Erwan Hédiard, Interim Chief Executive Officer and Chief Financial Officer of Nortera, said the company "remains fully committed to vegetable production and processing in Canada" and noted its ongoing strategic partnership with B&G Foods in the production of Green Giant products in Canada.
