Forum Markets forms AI compute joint venture, targets $150M in 2027 revenue
Forum Markets, Incorporated (Nasdaq: FRMM) announced the formation of Forum Edge AI LLC, a joint venture with Edge Node Inc. (Edge Node AI), to deploy AI inference compute capacity at existing powered data centers and mobile communications tower sites across the United States.
The joint venture, formed on October 2, 2026, is 51% owned and solely managed by Forum Markets, with Edge Node AI holding the remaining 49% stake. Forum said it expects to consolidate the joint venture's financial results. As part of the arrangement, Forum and Edge Node AI will exchange 9.95% equity stakes in each respective company, contingent on the achievement of certain power and financing milestones. Edge Node AI would receive approximately 1.46 million Forum shares, based on 13.2 million shares outstanding as of October 2, 2026.
The initial portfolio includes approximately 2 MW of capacity currently operating at a Dallas data center, expected to expand to 4 MW by early 2027; a six-building, five-acre campus in High Point, N.C., with 9 MW of live utility power; and one mobile tower deployment in Texas. Total initial planned deployment is approximately 11 MW.
Tower site agreements have been signed with SBA Communications Corporation (Nasdaq: SBAC) and Tillman Infrastructure, with plans to add additional tower owners. Each data site will be held in a separate special purpose vehicle with no cross-collateralization between projects.

Forum said compute capital expenditures are being funded through a combination of customer deposits and equipment financing, with no new equity issued to establish the initial deployment. The company said real estate and site equipment have already been purchased.
Based on the initial deployment schedule, Forum introduced full-year 2027 consolidated revenue guidance of $125 million to $175 million, reflecting 100% of joint venture revenue. The company also said it anticipates becoming cash flow positive in early 2027.
The guidance covers only the initial deployment phase through mid-2027. Forum said it expects to update guidance if additional deployments are pursued beyond the initial phase.
