KDP sets Oct. 16 deadline for JDE Peet's squeeze-out share transfer

October 5, 2026 5:57 AM

Keurig Dr Pepper Inc. (Nasdaq: KDP) has called on remaining JDE Peet's B.V. shareholders to voluntarily transfer their shares by Oct. 16, 2026, at 15:00 CET, following a Dutch court ruling ordering a squeeze-out of minority shareholders.

On Sept. 29, 2026, the Enterprise Chamber of the Court of Appeal in Amsterdam ruled in favor of Kodiak BidCo B.V., an indirectly wholly-owned subsidiary of KDP, ordering all remaining JDE Peet's shareholders to transfer their shares to KDP. The court set a price of €31.85 per share, plus statutory interest accruing from April 1, 2026, through the date of transfer.

Shareholders who voluntarily transfer their shares before the Oct. 16 deadline will receive payment on Oct. 19, 2026. Transfers are to be made electronically through Euroclear Nederland via MT 565 SWIFT or Easyway. KDP stated it will not reimburse brokerage, bank, or other fees incurred by shareholders during the transfer process.

For shares not transferred voluntarily within the deadline, KDP will deposit the equivalent amount per share — €31.85 plus accrued statutory interest — with the Dutch consignment office, a body of the Dutch Ministry of Finance. Upon consignment, ownership of those shares will transfer to KDP by operation of law under article 2:201a paragraph 8 of the Dutch Civil Code. Euroclear Nederland will then facilitate payment of the squeeze-out price plus interest to remaining shareholders.

Any attachments or limited rights on shares not voluntarily transferred will, following consignment, apply to the consigned cash amount rather than the shares themselves.
