Portland General Electric halts holding company restructuring plan
Portland General Electric (NYSE: POR) said it does not expect to proceed with a planned reorganization into a holding company structure after the Oregon Public Utility Commission issued a final order that includes conditions the company views as unworkable.
The Oregon Public Utility Commission issued Order No. 26-354 on September 25, 2026, in Docket UM 2385, addressing PGE's application to reorganize under a holding company structure. The order includes a rate credit and other customer benefits totaling approximately $83 million, which PGE said it supports.
The order imposes conditions that go beyond a stipulation previously agreed to by PGE and the commission's staff. Specifically, the order places restrictions on dividend payments tied to retained earnings and credit ratings, which PGE said depart from terms consistent with traditional holding company structures approved in Oregon and elsewhere.

PGE said these conditions "could limit its ability to fund investments needed to maintain and enhance system reliability, meet regulatory mandates, acquire sufficient clean energy, serve forecasted customer demand, and advance critical infrastructure projects."
The company said it is evaluating options including requests for reconsideration, clarification, or judicial review. The approximately $83 million in customer rate credits and other benefits will not be implemented unless the reorganization proceeds.
PGE said it is currently unable to estimate the full financial impact of the order and expects to provide further updates in future periodic reports and investor communications.
