Paramount Skydance extends debt offer deadlines to October 6
Paramount Skydance Corporation (NASDAQ: PSKY) has extended the expiration dates for its previously announced tender offers and exchange offers to 5:00 p.m. New York City time on October 6, 2026, according to a company statement.
The offers involve notes issued by Discovery Global Holdings, Inc. and Discovery Communications, LLC in connection with Paramount Skydance's proposed acquisition of Warner Bros. Discovery, Inc. The company said it anticipates continuing to extend the deadlines until the settlement dates align with the closing of that acquisition.
This is the latest in a series of extensions, with prior deadlines having been pushed back on 13 separate occasions since June 12, 2026. Settlement is currently expected to occur in the fourth quarter of 2026.
As of 5:00 p.m. on September 25, 2026, approximately 67.33% of the aggregate principal amount of the existing tender offer notes and 74.88% of the existing exchange offer notes had been validly tendered. The company noted those figures are not expected to represent final results given the anticipated further extensions.

The company also announced modifications to the terms of the new notes to be issued in the exchange offers, aligning certain terms with a separate offering of senior secured second lien notes the company said it intends to pursue, subject to market conditions.
The tender and exchange offers cover 16 series of notes across both issuers, with maturities ranging from 2027 to 2052 and aggregate principal amounts spanning from $3.16 million to over $4.1 billion per series. Two euro-denominated series are also included. Holders may withdraw tendered notes at any time before the expiration date.
BofA Securities and Citigroup are serving as dealer managers for the offers. Global Bondholder Services Corporation is acting as exchange agent and information agent.
