Voya Financial warns shareholders about unsanctioned TCIM straw poll
Voya Financial, Inc. (NYSE: VOYA) has issued an advisory to shareholders regarding a private straw poll being promoted by TOMS Capital Investment Management LP and affiliates (TCIM), stating the poll is not sponsored by the company and is not connected to any actual shareholder vote or company action.
According to a statement from Voya, shareholders are not required to respond to any solicitation related to the poll. The company also claims that materials TCIM produced in connection with the straw poll contain inaccurate or misleading statements, including what Voya describes as "outright falsehoods" in reproduced media reports.
Voya noted that at its most recent annual shareholder meeting, held approximately four months ago, each of its board directors and its executive compensation proposal received more than 98% shareholder support. The company's next annual shareholder meeting is expected in May 2027.

Voya also referenced recent Securities and Exchange Commission efforts to limit what it characterized as misuse of the proxy system, suggesting TCIM's proxy filings raise similar concerns. The company stated it considers such filings "a natural next area of attention" for regulators.
Voya said it plans to update shareholders on its financial results during a third-quarter earnings call scheduled for early November.
