Better Home & Finance probes breach of fiduciary duty claims against Vishal Garg
Better Home & Finance Holding Company (NASDAQ: BETR) said its Special Committee of the Board of Directors has opened an investigation into allegations that director and former CEO Vishal Garg offered company interests and property to former employees in exchange for their support in a proxy contest to replace the board.
The allegations were brought to the company by independent counsel representing a former employee. According to the company's statement, if substantiated, the conduct would raise issues of breach of fiduciary duty, as directors are not permitted to promise company assets or benefits in exchange for written consents in a proxy contest.
The company said Garg's conduct has already affected its ability to maximize the value of certain assets and claims.

The Special Committee unanimously recommended that shareholders sign and return the white consent revocation card and disregard any green consent card received from Garg. Shareholders who previously signed a green consent card may revoke it by returning the white consent revocation card.
The company filed a definitive consent revocation statement with the U.S. Securities and Exchange Commission on August 28, 2026, in opposition to Garg's solicitation of written consents seeking to remove members of the board.
