September 23, 2026 6:33 PM

AMC Entertainment Holdings, Inc. (NYSE: AMC) has priced $2.0 billion in aggregate principal amount of 8.875% first lien notes due 2031, alongside an $850 million first lien term loan facility, according to a company press release.

The first lien term loans carry an interest rate of SOFR plus 4.50% with an original issue discount of 1.50%. Combined with a previously announced $1.12 billion second lien term loan facility with Deutsche Bank AG New York Branch, the transactions are expected to close on or around October 5, 2026, subject to customary closing conditions.

The proceeds will be used to fund a tender offer for AMC's outstanding 7.500% Senior Secured Notes due 2029, redeem Muvico, LLC's $903.4 million Senior Secured Notes due 2029, and repay existing term loan facilities held by AMC and Odeon Finco PLC, a subsidiary of Odeon Cinemas Group Limited. Any AMC Secured Notes not tendered are expected to be redeemed on or about February 15, 2027.

The notes and related guarantees were offered only to qualified institutional buyers under Rule 144A of the Securities Act of 1933 and to non-U.S. investors under Regulation S. The notes have not been registered under the Securities Act and may not be offered or sold in the United States without an applicable exemption from registration requirements.

The transactions are conditioned upon aggregate gross proceeds to AMC of at least $3.97 billion from the combined debt financing.
