September 23, 2026 5:04 PM

TransUnion (NYSE: TRU) announced that Todd M. Cello, Executive Vice President and Chief Financial Officer, notified the company on September 19, 2026, of his intention to resign effective December 31, 2026.

Cello has agreed to provide transition services through March 1, 2027. The company stated his resignation is not related to any disagreement over company operations, policies, or practices.

TransUnion said it will conduct a search for a replacement CFO. If no successor is hired by December 31, 2026, the Board of Directors is expected to appoint an interim CFO until a permanent replacement is named.

Under a Transition and Separation Agreement dated September 23, 2026, Cello will receive his existing base salary through March 1, 2027, and benefits through March 31, 2027. He remains eligible for his 2026 annual incentive bonus, subject to company and individual performance, provided he stays employed through December 31, 2026. Performance share units granted on February 28, 2024, will continue to vest as long as he remains employed through February 28, 2027.

Upon signing a general release of claims, Cello is eligible for up to 18 months of company-funded COBRA continuation coverage and up to one year of outplacement services valued at a maximum of $35,000. The agreement includes confidentiality, non-solicitation, non-disparagement, and other restrictive covenants.
