Sequans receives NYSE non-compliance notice over market cap

September 23, 2026 4:47 PM

Sequans Communications S.A. (NYSE: SQNS) announced it received a notice from the New York Stock Exchange on September 14, 2026, stating the company is no longer in compliance with Section 802.01B of the NYSE Listed Company Manual.

According to the notice, Sequans fell below the required threshold because its average global market capitalization over a consecutive 30 trading-day period dropped below $50,000,000 while its stockholders' equity also remained below $50,000,000.

The notice does not result in the immediate delisting of the company's American Depositary Shares from the NYSE. Sequans has notified the NYSE of its intention to regain compliance.

Under NYSE procedures, Sequans has 90 days from receipt of the notice to submit a business plan outlining actions taken or planned to return to compliance within nine months. The NYSE will then have 45 days to review the plan and determine whether the company has demonstrated a reasonable ability to meet the listing standards within that period.

If the NYSE accepts the plan, Sequans' shares will remain listed and traded during the nine-month cure period, subject to compliance with other NYSE listing standards and periodic review of the company's progress.

Sequans, headquartered in France, is a fabless semiconductor company focused on 4G/5G cellular technology for the Internet of Things. The company said it is developing a compliance plan that reflects strategic actions already taken, including the completion of what it described as a Bitcoin treasury exit.
