Regenxbio Inc. (NASDAQ: RGNX) and The Trustees of the University of Pennsylvania reached a settlement agreement with Sarepta Therapeutics Inc. (together with Sarepta Therapeutics Three, LLC) and Catalent Inc. to resolve patent infringement litigation related to Sarepta's Duchenne muscular dystrophy gene therapy ELEVIDYS.

Under the terms of the agreement, dated September 23, 2026, Sarepta will pay $39.0 million to Regenxbio within 10 days of the agreement's effective date. Following the payment, all ongoing patent litigation concerning U.S. Patent No. 10,526,617 and U.S. Patent No. 11,680,274 will be terminated with prejudice.

As part of the settlement, Regenxbio and UPenn agreed to release all current patent infringement claims and committed not to sue Sarepta for future claims related to any gene therapy product using an AAVrh74-based capsid, including ELEVIDYS. The covenant also covers U.S. Patent No. 9,198,984 and related patents and applications.

Regenxbio additionally agreed not to pursue patent claims against Sarepta, its affiliates, licensees, or commercial partners over patents covering the existing form of ELEVIDYS or its AAVrh74-based capsid sequence. The agreement does not extend to patents covering other aspects of gene therapy products.

Regenxbio said it intends to file a copy of the Settlement Agreement with its Quarterly Report on Form 10-Q for the quarter ending September 30, 2026.
